No. The BRSR obligation attaches to the top 1,000 listed entities by market capitalisation, so unlisted companies are outside it. Many unlisted businesses nevertheless prepare comparable disclosures, because listed customers, lenders and investors request the same data through value chain and due-diligence requirements.

The statutory answer is short, but the practical answer is more interesting, because unlisted companies increasingly face the BRSR indirectly.
The statutory position
The Business Responsibility and Sustainability Report is a listing obligation under the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015. It binds the top 1,000 listed entities by market capitalisation. An unlisted company carries no filing duty under that instrument.
How it reaches unlisted companies anyway
Three routes bring an unlisted business into contact with the framework:
- Value chain disclosure. Listed entities in the top 250 by market capitalisation may disclose ESG data for their principal upstream and downstream partners, which means requesting it from suppliers and customers. That disclosure is voluntary since March 2025, but where an entity chooses to do it, its partners are asked for data.
- Procurement and lending. A listed customer or a lender may ask for emissions, energy, water, safety or diversity data as a condition of a contract or a facility, regardless of any statutory duty on the supplier.
- Group structure. An unlisted subsidiary of a listed parent typically sits inside the parent reporting boundary, so its data is collected even though it files nothing itself.
What an unlisted company can usefully do
Preparing the underlying measurement, particularly energy, emissions, water, waste and workforce data, is what satisfies all three routes. That work is the same whether or not a filing obligation ever attaches, which is why many unlisted businesses build it once and reuse it for every requester.
